A business account is essential for entrepreneurs doing a business setup in Germany. It ensures a clear separation between private and business finances, which is legally important to guarantee the limitation of liability. It also makes bookkeeping easier, as income and expenditure can be recorded and managed more easily. Many banks also have special regulations for business accounts, which offer additional protection. Overall, a business account is essential for the economic health and legal protection of the company.
When founding a new company, there can often be delays in opening an account, as banks have extensive auditing obligations. The notary can only submit the commercial register application, marking the official business setup in Germany, once the share capital has been paid in. Which makes it difficult to calculate how long it will take to set up the new company.
When you buy a shelf company, share capital has already been deposited, and you are therefore fully authorised to act immediately. After you have entered all the required information for a GmbH or UG, you will be automatically redirected to the online business account setup. You will receive a link to the system of our partner, Berliner Volksbank, where you or one of the managing directors of the company can complete the necessary identification and provide all other required information.
We recommend starting this process as soon as possible so that you have access to the bank account as soon as your notary appointment to purchase the shelf company takes place. Once your documents have been checked and the purchase of the shelf company has been finalised, the bank will ask you to submit the purchase and incorporation documents. You will only have access to your bank account and share capital once this step has been completed.
Once you have successfully completed the legitimisation and KYC process (Know-Your-Customer), you will have full access to the account and the share capital.
We give you for the KYC process a checklist of the required documents by Berliner Volksbank. The KYC process can only begin once the bank has received these documents in full. The duration of the KYC process depends on the respective bank and the new shareholder structure.
Berliner Volksbank is free to reject customers. In this case, the account balance will be transferred to an account specified by the new managing director of the shelf company. In this case, Berliner Volksbank and startbereit will contact you to coordinate the process.
During a KYC (Know Your Customer) check, a bank verifies the personal and business data of new customers. This check is required by law and is carried out both when opening an account and when transferring an account.
The audit includes recording the type and purpose of the business relationship and clarifying the origin of funds. In the case of natural persons, it is checked whether a politically exposed person (PEP) is involved, while in the case of legal entities the focus is on the ownership structure and corporate structure. All checks must be documented.
The duration of the KYC audit varies depending on the complexity of the case. Larger banks and legal entities generally require more extensive checks. A full KYC check is also required when acquiring a shelf company.
