It ensures a clear sep­ar­a­tion between private and busi­ness fin­ances, which is leg­ally import­ant to guar­an­tee the lim­it­a­tion of liab­il­ity. It also makes book­keep­ing easier, as income and expendit­ure can be recor­ded and man­aged more eas­ily. Many banks also have spe­cial reg­u­la­tions for busi­ness accounts, which offer addi­tional pro­tec­tion. FAQs busi­ness bank account

When found­ing a new com­pany, there can often be delays in open­ing an account, as banks have extens­ive audit­ing oblig­a­tions. The not­ary can only sub­mit the com­mer­cial register applic­a­tion, mark­ing the offi­cial busi­ness setup in Ger­many, once the share cap­ital has been paid in. Which makes it dif­fi­cult to cal­cu­late how long it will take to set up the new com­pany.

When you buy a shelf com­pany, share cap­ital has already been depos­ited, and you are there­fore fully author­ised to act imme­di­ately. Even if we can­not com­pletely avoid the usual veri­fic­a­tion pro­cess with our part­ner, Ber­liner Volks­bank, the trans­fer of an account is con­sid­er­ably sim­pli­fied, and you can access the share cap­ital much quicker than the tra­di­tional way. 

After you have entered all the required inform­a­tion for a GmbH or UG, you will be auto­mat­ic­ally redir­ec­ted to the online busi­ness account setup. You will receive a link to the sys­tem of our part­ner, Ber­liner Volks­bank, where you or one of the man­aging dir­ect­ors of the com­pany can com­plete the neces­sary iden­ti­fic­a­tion and provide all other required inform­a­tion. 

We recom­mend start­ing this pro­cess as soon as pos­sible so that you have access to the bank account as soon as your not­ary appoint­ment to pur­chase the shelf com­pany takes place. Once your doc­u­ments have been checked and the pur­chase of the shelf com­pany has been final­ised, the bank will ask you to sub­mit the pur­chase and incor­por­a­tion doc­u­ments. You will only have access to your bank account and share cap­ital once this step has been com­pleted.

Once you have suc­cess­fully com­pleted the legit­im­isa­tion and KYC pro­cess (Know-Your-Cus­tomer), you will have full access to the account and the share cap­ital.

We give you for the KYC pro­cess a check­list of the required doc­u­ments by Ber­liner Volks­bank. The KYC pro­cess can only begin once the bank has received these doc­u­ments in full. The dur­a­tion of the KYC pro­cess depends on the respect­ive bank and the new share­holder struc­ture.

Ber­liner Volks­bank is free to reject cus­tom­ers. In this case, the account bal­ance will be trans­ferred to an account spe­cified by the new man­aging dir­ector of the shelf com­pany. In this case, Ber­liner Volks­bank and start­bereit will con­tact you to coordin­ate the pro­cess.

Dur­ing a KYC (Know Your Cus­tomer) check, a bank veri­fies the per­sonal and busi­ness data of new cus­tom­ers. This check is required by law and is car­ried out both when open­ing an account and when trans­fer­ring an account.

The audit includes record­ing the type and pur­pose of the busi­ness rela­tion­ship and cla­ri­fy­ing the ori­gin of funds. In the case of nat­ural per­sons, it is checked whether a polit­ic­ally exposed per­son (PEP) is involved, while in the case of legal entit­ies the focus is on the own­er­ship struc­ture and cor­por­ate struc­ture. All checks must be doc­u­mented.

The dur­a­tion of the KYC audit var­ies depend­ing on the com­plex­ity of the case. Lar­ger banks and legal entit­ies gen­er­ally require more extens­ive checks. A full KYC check is also required when acquir­ing a shelf com­pany.

After the acquis­i­tion of the GmbH or UG, the not­ar­ised pur­chase and form­a­tion doc­u­ments must be uploaded. The doc­u­ments must be stamped and signed or sealed and signed:

  • Regis­tra­tion in the com­mer­cial register
  • Cer­ti­fic­ate of incor­por­a­tion
  • Share­holder list

The Ber­liner Volks­bank is avail­able to you as our part­ner for busi­ness accounts. After com­plet­ing the account trans­fer pro­cess, you will receive a fixed con­tact per­son at the bank who looks after your com­pany. Rights and oblig­a­tions arising from the account agree­ment exist only between the user (i.e. you) and Ber­liner Volks­bank.
